Welcome to TwoWayMind. These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and RATE LTD, doing business as TwoWayMind ("TwoWayMind", "we", "us", or "our"), concerning your access to and use of the twowaymind.com website as well as any other media form, media channel, API, network infrastructure, or application related, linked, or otherwise connected thereto (collectively, the "Platform" or "Services").
By accessing the Platform, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Platform and you must discontinue use immediately.
1. Nature of the Services
TwoWayMind is a technology and software infrastructure provider specializing in high-performance networking, execution routing software, and data analytics. Our services are technological in nature, providing software-as-a-service (SaaS) and infrastructure-as-a-service (IaaS) solutions to quantitative researchers, proprietary trading firms, and institutional entities.
2. Intellectual Property Rights
Unless otherwise indicated, the Platform and all source code, databases, functionality, software (including our proprietary C++ routing logic and kernel-bypass frameworks), website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by RATE LTD. They are protected by international copyright and trademark laws and various other intellectual property rights. You are expressly prohibited from reverse-engineering, decompiling, scraping, or attempting to extract the source code of our routing algorithms or alternative data feeds.
3. Acceptable Use and Restrictions
You may not access or use the Platform for any purpose other than that for which we make the Platform available. As a user of the Platform, you agree not to:
- Systematically retrieve data or other content from the Platform to create or compile a collection, database, or directory without written permission.
- Circumvent, disable, or otherwise interfere with security-related features of the Platform, including our API rate limiters and DDoS mitigation rules.
- Use the Platform as part of any effort to compete with us or otherwise use the Platform and/or the Content for any revenue-generating endeavor or commercial enterprise without a commercial license.
- Upload or transmit viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Platform.
4. Service Availability and Modifications
While we strive for 99.99% uptime through our redundant London and Timișoara nodes, we cannot guarantee that the Platform will be available at all times. We may experience hardware, software, or other problems resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Platform at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Platform during any downtime or discontinuance of the Platform.
5. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE PLATFORM’S CONTENT OR DATA FEEDS AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT OR SYSTEM FAILURES.
6. Governing Law and Jurisdiction
These Terms shall be governed by and defined following the laws of the Marshall Islands, without regard to its conflict of law principles. RATE LTD and yourself irrevocably consent that the courts of the Marshall Islands shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
